CMA Care Home Deal: Proposed Remedies Accepted

The CMA care home deal has garnered attention as the Competition and Markets Authority (CMA) has today announced its intention to accept remedies proposed after investigating Welltower’s acquisition of over 600 care homes throughout the UK. Welltower, a US-based real estate investment trust, completed the purchase of four care home property portfolios that were formerly managed by Barchester Healthcare, HC-One, Aria Care (including Asprey), and Danforth Care in October 2025. Following this acquisition, new operators such as Care UK and Apex Healthcare Properties assumed responsibility for the operational management of these care homes. The CMA’s phase 1 investigation revealed that the acquisition might raise competition concerns regarding the provision of nursing and residential care services to the elderly in 30 localities across England and Scotland. In these areas, either Welltower or one of the care home operators could dominate the market with a substantial share of the care home facilities. The CMA expressed apprehension that this situation might result in increased prices or diminished service quality for residents in those care homes. To address these concerns, Welltower has proposed specific remedies, including: - Selling its stakes in several care home properties. - Transferring the operational management of certain other care homes to new operators. Upon reviewing this proposal, the CMA believes it may alleviate its competition concerns, and will soon consult on the remedies package and potential buyers. According to Sorcha O’Carroll, Senior Director of Mergers at the CMA, "It’s crucial that older people and their families choosing care homes get the best care available at a reasonable price. Effective competition amongst providers can help boost choice, improve quality, and keep costs down, all of which are important factors for making sure people are properly looked after." She added, "We had concerns that Welltower’s deal to purchase over 600 sites could create competition issues in several local areas across England and Scotland. However, after thorough discussions with the involved businesses, we are optimistic that Welltower has a viable solution to these concerns, enabling us to approve the deal while preserving competition."
